TERMS AND CONDITIONS

Effective Date: September 11, 2026

These Terms and Conditions (“Terms”) govern your access to and use of standoutdjs.com and the online services provided by Stand Out Nation Ventures LLC, doing business as StandOut DJs (“StandOut DJs,” “we,” “us,” or “our”).

By accessing the website, submitting an inquiry, building an event package, requesting an estimate, making a payment, or booking services, you agree to these Terms. If you do not agree, please do not use the website.

1. Website Purpose

The website allows visitors to review StandOut DJs services, check potential event-date availability, build an event package, view estimated pricing, submit event information, contact our team, make deposits or payments, and access private event or booking information. Website content is provided for general informational and booking purposes.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to book services or make a payment through the website. If you are arranging an event for a minor, you represent that you are the minor’s parent, legal guardian, or an adult authorized to make arrangements for the event.

3. Estimates and Online Pricing

Prices displayed through the event builder are based on the information and selections submitted at that time. An online price, estimate, or availability result may be subject to verification; may change if event details change; may exclude services not selected; may be affected by location, access, timing, staffing, equipment, travel, venue requirements, or special requests; does not independently guarantee that the date is available; and does not create a confirmed booking. If a website calculation or displayed price contains an obvious technical or clerical error, we reserve the right to correct it before accepting or completing the booking.

4. Booking Confirmation

An event is not confirmed merely because you submit an inquiry, complete the event builder, receive an estimate, receive an event link, or discuss an event with our team. A booking is confirmed only after all required steps identified by StandOut DJs have been completed. These steps may include verification of availability, acceptance of a written service agreement, payment of the required deposit, submission of requested event information, and receipt of written booking confirmation. Dates remain available to other clients until the booking is formally confirmed.

5. Service Agreement

DJ, entertainment, production, and event services may be governed by a separate proposal, invoice, booking agreement, contract, or statement of work. If these Terms conflict with a signed service agreement, the signed service agreement controls regarding the specific event and services covered by that agreement.

6. Deposits, Payments, and Balances

The required deposit and payment schedule will be displayed during booking or stated in the applicable invoice or service agreement. Unless otherwise stated in writing: a deposit is required to secure an event date; a date is not reserved until the required deposit has been successfully received; the remaining balance must be paid according to the applicable agreement or invoice; additional services, hours, equipment, travel, or changes may result in additional charges; and failed, reversed, disputed, or returned payments may result in suspension or cancellation of the booking. Clients are responsible for providing accurate billing and payment information. Payments may be processed through Stripe or another designated payment processor. Use of a payment processor may also be subject to that provider’s terms and privacy policy.

7. Cancellations, Refunds, and Rescheduling

Cancellation, refund, deposit, and rescheduling terms are governed by the applicable booking agreement, proposal, or invoice. Unless expressly stated otherwise in writing, submitting an inquiry or building an event package does not entitle a user to a refund, reservation, or service credit. Requests to cancel or reschedule must be provided promptly and in writing. Approval is subject to availability, the applicable agreement, amounts already paid, expenses already incurred, and the timing of the request. Changing an event date, location, duration, guest count, or scope of services may require revised pricing and a new or amended agreement.

8. Client Responsibilities

The client agrees to provide complete and accurate event information; notify us promptly of material changes; provide timely access to the venue; obtain necessary venue approvals; provide a safe and appropriate working environment; ensure adequate electrical power and physical space; identify venue restrictions, sound limits, access rules, loading requirements, and insurance requirements; provide accurate schedules, announcements, names, and music instructions; make required payments on time; ensure guests and attendees behave safely and lawfully; and designate an authorized event contact when requested. Additional costs caused by undisclosed restrictions, inadequate access, delays, schedule changes, or additional requested services may be charged to the client when permitted by the applicable agreement.

9. Venue Requirements and Access

The client is responsible for confirming that the venue permits the requested services, equipment, lighting, sound levels, special effects, and setup requirements. The client must disclose relevant restrictions before the event, including noise ordinances, sound limiters, indoor or outdoor requirements, stairs or limited loading access, electrical limitations, setup and breakdown windows, parking or loading fees, insurance requirements, and restrictions involving fog, cold sparks, lighting, or other enhancements. We may decline to use equipment or provide an enhancement if doing so would violate venue rules, applicable law, manufacturer instructions, or reasonable safety standards.

10. Event Changes and Additional Services

Changes requested after booking are subject to availability and approval. Additional hours, equipment, travel, production services, enhancements, staffing, or special requests may require additional payment. Only an authorized representative of StandOut DJs may approve a material change to the booked services or price.

11. Music Requests

We welcome music requests and event preferences. However, we do not guarantee that every requested song will be played. Song selection may be affected by event timing, audience response, availability of an appropriate version, venue requirements, content restrictions, technical limitations, professional judgment, and instructions provided by the authorized client contact. The client is responsible for clearly communicating requests for clean edits, explicit music, restricted songs, special announcements, or a do-not-play list.

12. Safety and Conduct

We reserve the right to pause, modify, or discontinue services when our personnel, contractors, guests, or equipment face unsafe, unlawful, abusive, threatening, or hazardous conditions. Unsafe conditions may include violence or threats, harassment, dangerous crowd behavior, illegal activity, severe weather, unsafe electrical conditions, unstable staging, unauthorized equipment access, excessive intoxication, and damage or attempted damage to equipment. Stopping services for legitimate safety reasons does not automatically create a right to a refund.

13. Equipment and Technical Issues

We take reasonable steps to provide functioning professional equipment and reliable service. Events may still be affected by circumstances outside our reasonable control, including venue power failures, internet or network outages, equipment interference, venue sound restrictions, guest interference, weather, transportation disruptions, and third-party service failures. Any remedies for equipment failure or service interruption are governed by the applicable booking agreement and applicable law.

14. Weather and Outdoor Events

Clients booking outdoor events are responsible for providing adequate shelter and protection from rain, moisture, wind, extreme temperatures, direct sunlight, and other environmental hazards. We may decline to set up or operate equipment when conditions could create a safety risk or damage equipment. Weather-related cancellation, rescheduling, and refund matters are governed by the applicable booking agreement.

15. Force Majeure

Neither party will be responsible for failure or delay caused by circumstances beyond reasonable control, including severe weather, natural disasters, fire, flood, epidemic or public-health emergency, government restrictions, civil unrest, war or terrorism, transportation shutdowns, utility failures, venue closure, labor disruptions, serious illness or emergency, and other events that could not reasonably have been prevented. The parties will make reasonable efforts to communicate and determine whether rescheduling, replacement services, credits, or another solution is available, subject to the applicable agreement.

16. Photographs, Video, and Event Media

Any permission for StandOut DJs to record or use identifiable photographs, video, audio, testimonials, or event media will be governed by an applicable release, service agreement, event notice, or separate consent. Booking our services does not automatically grant unlimited permission to use private event media for advertising unless that permission is included in an applicable agreement or release. Clients are responsible for obtaining any permissions required from their guests when the client requests recording, livestreaming, photography, or other media services.

17. Communications

By providing your contact information, you agree that we may send communications reasonably related to your inquiry, event availability, an estimate, a booking, a contract, a payment, event planning, and customer support. These transactional or service-related communications are part of providing the requested services. Marketing emails and promotional text messages are governed by the consent choices you make and our Privacy Policy.

20. Artificial Intelligence and Automated Features

The website or our business operations may use artificial intelligence and automated technologies to assist with communications, event recommendations, workflow management, website functions, pricing, and administrative tasks. AI-generated or automated information may be incomplete or inaccurate and should not be treated as a guaranteed representation unless confirmed by an authorized representative of StandOut DJs. Automated output does not replace the final service agreement, verified price, confirmed availability, or written booking confirmation. You agree not to use automated features to submit false, unlawful, harmful, or misleading information.

21. Acceptable Website Use

You may not use the website for an unlawful or fraudulent purpose; submit false or misleading information; attempt to access another client’s private event information; attempt to bypass website security; introduce malware or harmful code; scrape or harvest information without authorization; interfere with website operation; impersonate another person or business; use the website to violate another party’s rights; or test website vulnerabilities without written authorization. We may restrict access when we reasonably believe these Terms have been violated.

22. Intellectual Property

The website and its content, including branding, logos, text, photographs, graphics, layouts, software, pricing tools, and original media, are owned by or licensed to Stand Out Nation Ventures LLC and are protected by applicable intellectual-property laws. You may use the website for personal, noncommercial evaluation and booking purposes. You may not reproduce, sell, republish, modify, distribute, or commercially exploit website content without written permission. Third-party names, trademarks, music, and media remain the property of their respective owners.

23. Client Portal and Private Links

Certain event information may be accessible through a private link or client portal. You are responsible for protecting private links and login information, providing accurate account information, restricting access to authorized individuals, and notifying us of suspected unauthorized access. We are not responsible for access caused by your voluntary sharing of a private link or failure to protect account information.

24. Third-Party Services

The website may use or link to third-party services, including payment, hosting, database, email, messaging, and analytics providers. We do not control and are not responsible for third-party websites, platforms, interruptions, policies, or business practices. Your use of a third-party service may be governed by that provider’s terms and privacy policy.

25. Website Availability

We do not guarantee that the website or every feature will always be available, uninterrupted, secure, or error-free. We may modify, suspend, restrict, or discontinue website features without notice when reasonably necessary for maintenance, security, business, or legal reasons.

26. Disclaimer of Warranties

To the fullest extent permitted by law, the website is provided on an “as is” and “as available” basis. We do not warrant that website information will always be complete or error-free; that the website will operate without interruption; that every displayed date will remain available; that every online estimate will be accepted; or that the website will be free from harmful components. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

27. Limitation of Liability

To the fullest extent permitted by law, Stand Out Nation Ventures LLC and its owners, personnel, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from website use. Liability connected to booked event services will be governed by the applicable service agreement and applicable law. Nothing in these Terms limits liability that cannot legally be limited.

28. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Stand Out Nation Ventures LLC and its owners, personnel, and contractors from third-party claims, damages, losses, or expenses arising from your unlawful use of the website; information or materials you submit; your violation of these Terms; your infringement of another party’s rights; and unsafe conditions or undisclosed restrictions under your control. This section does not require indemnification for conduct that cannot legally be indemnified.

29. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute concerning website use will be brought in a court with proper jurisdiction in the Texas county where Stand Out Nation Ventures LLC maintains its principal place of business, unless applicable law or a separate signed agreement requires otherwise. Event-service disputes may also be governed by the dispute provisions contained in the applicable service agreement.

30. Changes to These Terms

We may update these Terms to reflect changes to our website, services, technology, or legal obligations. The revised Terms will be posted with an updated effective date. Changes apply prospectively after publication unless applicable law requires otherwise.

31. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

32. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

33. Entire Agreement

These Terms, the Privacy Policy, and any applicable proposal, invoice, service agreement, release, or written amendment constitute the agreement governing the applicable transaction. A signed service agreement controls if it conflicts with these general website Terms regarding the specific booked event.
